1. Acceptance of Terms

These Terms of Service ("Terms") govern your use of the OptiVest mobile application and related services (collectively, the "Service") operated by Optimistic Investments ("we", "us", or "our").

By accessing or using the Service, you confirm that you are at least 18 years old, have read and understood these Terms, and agree to be bound by them. If you do not agree, do not use the Service.

2. Description of Service

OptiVest is a private investment ledger and group finance tracking tool. It allows users to:

• Record and track financial contributions, expenses, and distributions within a group
• Manage investment projects, tasks, and documents
• Collaborate with invited members within a closed group or club
• View analytics and financial summaries

OptiVest is a record-keeping tool only. We are not a financial institution, investment advisor, or payment processor. We do not hold, transfer, or process any actual funds. All monetary figures entered into the app are for record-keeping purposes only.

3. Account Registration

To use OptiVest, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain the security of your password and PIN
• Notify us immediately of any unauthorised access to your account
• Be responsible for all activity that occurs under your account

We reserve the right to suspend or terminate accounts that provide false information or violate these Terms.

4. Acceptable Use

You agree to use OptiVest only for lawful purposes. You must not:

• Use the Service for any illegal activity, including money laundering or fraud
• Enter false, misleading, or fabricated financial records
• Attempt to gain unauthorised access to other users' accounts or data
• Reverse-engineer, decompile, or attempt to extract the app's source code
• Use automated tools to scrape or extract data from the Service
• Harass, abuse, or harm other users through the Service
• Violate any applicable local, national, or international law or regulation

5. User Content

You retain ownership of all content you enter into OptiVest (project records, documents, transaction data, etc.). By using the Service, you grant us a limited licence to store, process, and display your content solely for the purpose of providing the Service to you.

You are solely responsible for the accuracy and legality of the content you enter. We do not verify or validate financial records entered by users.

6. Premium Features & Billing

OptiVest offers optional premium features available via in-app purchase through Google Play. All billing is handled by Google Play Billing and is subject to Google's terms and refund policies. We do not process payments directly.

Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current billing period. You can manage and cancel subscriptions in your Google Play account settings.

7. Privacy

Your use of OptiVest is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review it to understand our data practices.

8. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, or free from viruses. We are not responsible for any financial decisions made based on data recorded in OptiVest. Always verify important financial records independently.

9. Limitation of Liability

To the fullest extent permitted by applicable law, Optimistic Investments and its officers, employees, agents, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or other intangible losses, arising out of or in connection with your use of the Service.

Our total liability to you for any claim arising from these Terms or the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or NPR 1,000, whichever is greater.

10. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your account if you violate these Terms, with or without prior notice.

Upon termination, your right to use the Service ceases immediately. Sections 5, 8, 9, and 11 of these Terms survive termination.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Nepal. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts located in Kathmandu, Nepal.

12. Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will notify you through the app or by email. The updated Terms will be posted at this URL with a revised "Last updated" date.

Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.
